St. John’s E-2 guide: read the purchase timeline from deposit to control

USAvisa field guide · 2 minute readReviewed 7 September 2026
THE SHORT ANSWER

An E-2 purchase proposal can involve several dates with different legal effects. Organize the transaction so the review can distinguish payment, commitment, possession and the applicant’s authority to develop and direct the enterprise. The investor must decide whether the transaction documents make funds irrevocably committed, exposed to loss and tied to an enterprise that is not marginal. Hypothetical example: a fire-suppression equipment buyer can either use escrow with narrow release conditions or retain unrestricted withdrawal rights. Choosing the latter may preserve commercial flexibility while weakening the E-2 commitment analysis.

01

Put the conditions on the calendar

Hypothetical example: a deposit is held pending specified conditions, with possession due later. Write down the actual conditions for release, cancellation and return. Identify who controls the funds at each stage. Escrow requires analysis of its terms; its name alone does not establish that funds qualify as committed capital at risk. Ask the seller or escrow holder for the signed instructions before setting the immigration calendar. The decision is whether each condition is genuinely tied to the E-2 result or allows ordinary withdrawal for unrelated reasons. Record every release trigger in plain language.

02

Trace the funding beneath the purchase price

Separate personal savings and each loan, then link them to transfers and the contemplated use. Personally secured or unsecured borrowing may qualify under applicable rules; enterprise-asset-secured debt does not count as the investor’s qualifying investment. Review mixed security and separate charges instead of treating the whole financing package as one qualifying number. Prepare a source-and-path chart before money moves, particularly when gifts, loans or asset sales are involved. Decide whether each loan is personally secured or rests on enterprise assets, because that distinction can change how the funds are treated.

03

Assess the enterprise independently of closing

Review qualifying treaty nationality, ownership and control, substantiality and a real nonmarginal operating business. No universal fixed E-2 minimum applies. Identify what the applicant intends to do before and after possession, because paying or signing does not itself authorize U.S. work. Commercial closing advice and immigration review should address their respective uncertainties before the timetable is relied upon. Test the proposed enterprise against its own operations, not only its price. The investor must choose whether to postpone active management until authorized or arrange a lawful interim structure. Ownership does not itself permit hands-on U.S. work.
